Welcome to RxPredict. These Terms of Service (“Terms”) govern your access to and use of the RxPredict platform, including our website, software, forecasting tools, analytics, alerts, and related services (collectively, the “Service”). By creating an account, accessing, or using RxPredict, you agree to these Terms on behalf of yourself and the pharmacy or organization you represent (“Customer,” “you,” or “your”). If you do not agree to these Terms, do not use the Service.
RxPredict is a business-to-business software platform intended for use by licensed pharmacies and authorized pharmacy personnel only. By using the Service, you confirm that you are authorized to act on behalf of the pharmacy or organization using the Service, that your organization is legally permitted to use pharmacy inventory and dispensing data in connection with the Service, and that you will comply with all applicable laws, regulations, licensing obligations, and professional standards.
RxPredict provides pharmacy inventory management and demand forecasting tools, including inventory tracking and analytics, upload and processing of dispensing records and inventory snapshots, reorder point calculations, demand forecasting, low-stock alerts, and related operational insights. The Service is designed to assist pharmacies with inventory planning and operational decision-making. RxPredict does not provide medical advice, pharmaceutical advice, regulatory guidance, or clinical decision-making services. We may update, improve, modify, or discontinue features of the Service at any time.
To use RxPredict, your organization must create an account. Each pharmacy organization may invite multiple authorized staff members to access the Service under the organization account. You agree that all registration information provided is accurate and current, that you will maintain the security of your login credentials, and that you will promptly notify us of any unauthorized access or security breach. Organization administrators are responsible for managing staff access permissions. The organization account owner or administrator is responsible for all activity conducted under the organization account, including actions taken by invited staff members, employees, contractors, or agents.
You may only use the Service for legitimate internal pharmacy business operations related to managing your own inventory and dispensing workflows. You agree not to:
We reserve the right to suspend or terminate accounts that violate these Terms or create risk to the Service or other users.
Your organization retains ownership of all dispensing records, inventory data, uploads, reports, and other information you submit to the Service (“Customer Data”). RxPredict does not claim ownership of your Customer Data. By using the Service, you grant RxPredict a limited license to host, process, store, analyze, and display Customer Data solely for the purpose of providing and improving the Service.
RxPredict may use aggregated and fully anonymized data derived from Customer Data to improve forecasting models and platform performance, develop analytics and benchmarking insights, and monitor system reliability and usage trends. Aggregated and anonymized data will not identify your pharmacy, staff, patients, or customers.
You are responsible for ensuring you have all necessary rights, permissions, and legal authority to upload and use Customer Data with the Service.
RxPredict provides algorithmic forecasts, reorder recommendations, low-stock alerts, and operational insights based on uploaded data and predictive models. These outputs are advisory tools only. RxPredict does not guarantee the accuracy, completeness, reliability, or suitability of any forecast, recommendation, alert, or calculation.
You acknowledge and agree that all purchasing, stocking, dispensing, and operational decisions remain solely your responsibility, that RxPredict does not provide medical, pharmaceutical, legal, financial, or regulatory advice, and that your pharmacy remains solely responsible for compliance with all laws, regulations, licensing requirements, and professional obligations.
Forecasts may be affected by incomplete, inaccurate, delayed, seasonal, or abnormal data patterns. RxPredict is not responsible or liable for stock shortages or stockouts, overstocking or inventory waste, lost profits or operational disruption, delayed dispensing, regulatory penalties or compliance issues, patient harm, treatment interruption, adverse outcomes, or decisions made based on, or contrary to, Service recommendations.
The Service is intended to support human decision-making and not replace professional judgment or operational oversight.
Certain features of the Service may require a paid subscription. By subscribing to a paid plan, you agree to pay all applicable fees and charges associated with your account. Unless otherwise stated:
You may cancel your subscription at any time, and cancellation will take effect at the end of the current billing period unless otherwise specified. RxPredict may change pricing or subscription plans with reasonable prior notice.
Either party may terminate these Terms at any time. RxPredict may suspend or terminate access immediately if you violate these Terms, your use creates security, legal, or operational risk, or required payments remain overdue.
Upon termination, your access to the Service will end. You may export your Customer Data during the retention period. RxPredict will retain Customer Data for up to 30 days after termination for recovery and export purposes, after which Customer Data will be deleted or anonymized unless retention is required by law.
Certain provisions of these Terms will survive termination, including ownership, disclaimers, limitation of liability, and payment obligations.
To the maximum extent permitted by law, RxPredict and its affiliates, officers, employees, contractors, and licensors will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunities.
RxPredict's total aggregate liability arising out of or relating to the Service or these Terms will not exceed the total amount paid by your organization to RxPredict during the twelve (12) months preceding the event giving rise to the claim. These limitations apply regardless of the legal theory involved, including contract, negligence, tort, strict liability, or otherwise, even if RxPredict was advised that damages were possible.
We may update these Terms from time to time. If we make material changes, we will provide notice through the Service, by email, or by other reasonable means. Continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms.
These Terms are governed by and interpreted under the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in the State of Texas.
